These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Ethy (“Ethy,” “we,” “us,” or “our”), governing your access to and use of the Ethy platform, including applications, websites, and any related features or services (collectively, the “Services”).

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICES.

1. Introduction and Agreement to Terms

By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an entity, you represent and warrant that you have the authority to bind that entity.

These Terms may be updated from time to time at Ethy’s sole discretion. Updated Terms will be posted with a revised “Last Updated” date. YOUR CONTINUED USE OF THE SERVICES AFTER ANY SUCH UPDATE CONSTITUTES YOUR ACCEPTANCE OF THE REVISED TERMS.

2. Eligibility and Compliance

You must be at least eighteen (18) years old and have the legal capacity to enter into these Terms in your jurisdiction. By using the Services, you represent and warrant that you meet these requirements.

You further represent and warrant that you are not:

(a) located in, or a resident or national of, a jurisdiction that is subject to sanctions, embargoes, or other restrictions under United States law;

(b) identified on any U.S. government list of prohibited or restricted parties; or

(c) using the Services for or on behalf of any such restricted party.

YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF THE SERVICES COMPLIES WITH ALL LAWS AND REGULATIONS APPLICABLE TO YOU. ETHY MAY RESTRICT ACCESS TO THE SERVICES FROM ANY JURISDICTION WHERE USE WOULD BE ILLEGAL, RESTRICTED, OR EXPOSE ETHY TO REGULATORY LIABILITY. WITHOUT LIMITING THE FOREGOING, YOU MAY NOT USE THE SERVICES IF YOU ARE LOCATED IN, OR A CITIZEN OR RESIDENT OF, A JURISDICTION EMBARGOED BY THE UNITED KINGDOM, THE UNITED STATES, THE EUROPEAN UNION, OR OTHER APPLICABLE SANCTIONS AUTHORITIES, INCLUDING BUT NOT LIMITED TO CUBA, IRAN, NORTH KOREA, SYRIA, OR ANY REGION SUBJECT TO COMPREHENSIVE SANCTIONS.

ETHY RESERVES THE RIGHT TO RESTRICT OR TERMINATE ACCESS TO THE SERVICES WHERE USE WOULD VIOLATE APPLICABLE LAWS OR REGULATIONS.

3. Nature of Services

Ethy provides non-custodial software tools that enable users to automate trading strategies, access signals and insights from third-party agents, and execute transactions on supported blockchain networks.

ETHY DOES NOT CUSTODY OR CONTROL USER FUNDS. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING CONTROL OF YOUR WALLETS, PRIVATE KEYS, AND CREDENTIALS. ETHY HAS NO ABILITY TO ACCESS OR RECOVER YOUR ASSETS OR REVERSE TRANSACTIONS EXECUTED THROUGH THE SERVICES.

The Services may interface with third-party protocols, agents, or applications. Ethy does not control or operate such third parties and assumes no responsibility for their availability, security, accuracy, or performance. Your use of third-party services is entirely at your own risk.

4. Automated Features and AI Outputs

The Services may include automated tools, artificial intelligence agents, or algorithmic outputs that generate strategies, trading signals, recommendations, or other content. Such outputs are inherently probabilistic and may be inaccurate, incomplete, misleading, or erroneous.

YOU ACKNOWLEDGE THAT ETHY MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR SUITABILITY OF ANY AUTOMATED OR AI-GENERATED OUTPUT. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND DECIDING WHETHER TO RELY UPON OR ACT UPON ANY SUCH OUTPUTS.

By using the Services, you accept full responsibility for all actions or decisions taken in reliance on automated or AI-generated outputs and agree that ETHY SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING THEREFROM.

5. No Advice / No Fiduciary Duty

THE SERVICES, INCLUDING ANY STRATEGIES, SIGNALS, OR “ALPHA” AVAILABLE THROUGH ETHY OR THIRD-PARTY AGENTS, ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. ETHY DOES NOT PROVIDE FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE, AND NOTHING ON THE PLATFORM SHALL BE INTERPRETED AS SUCH.

You acknowledge and agree that:

(a) Ethy is not acting as your broker, advisor, fiduciary, or agent;

(b) you are solely responsible for evaluating any information, strategy, or automation available through the Services; and

(c) you alone bear responsibility for all trading decisions made using the Services.

6. Assumption of Risk

You acknowledge that digital assets and decentralized finance carry inherent risks, including but not limited to: market volatility, slippage, liquidity shortages, hacking or cybersecurity events, smart contract vulnerabilities, blockchain reorganizations, downtime, transaction malfunctions, and unfavorable or unexpected regulatory actions.

BY ACCESSING OR USING THE SERVICES, YOU EXPRESSLY ACCEPT AND ASSUME ALL SUCH RISKS. ETHY MAKES NO GUARANTEE OF PERFORMANCE OR PROFIT AND DISCLAIMS ANY LIABILITY FOR LOSSES ARISING FROM YOUR USE OF THE SERVICES. YOU UNDERSTAND AND AGREE THAT YOU USE THE SERVICES ENTIRELY AT YOUR OWN RISK.

7. User Responsibilities

You are solely responsible for:

(a) securing your accounts, wallets, private keys, recovery phrases, and credentials;

(b) ensuring that your devices and internet connection are properly protected against unauthorized access;

(c) the strategies, automations, or instructions you create or execute through the Services; and

(d) compliance with all applicable laws, regulations, and tax obligations in your jurisdiction.

Ethy has no obligation to monitor your use of the Services. Any reliance on strategies, automations, or alpha you choose to implement is at your own discretion and responsibility.

8. Prohibited Conduct

You agree that you will not, directly or indirectly:

(a) use the Services for any unlawful activity, including but not limited to money laundering, terrorism financing, fraud, or violation of sanctions laws;

(b) use the Services to engage in market manipulation, wash trading, front-running, or any other abusive trading practice;

(c) interfere with, disrupt, or attempt to compromise the security, functionality, or integrity of the Services or any blockchain network connected to the Services;

(d) upload or transmit any harmful code, malware, or unauthorized data through the Services;

(e) attempt to gain unauthorized access to other users’ accounts, wallets, or data; or

(f) use the Services in any manner that violates these Terms or applicable law.

Ethy reserves the right to investigate suspected violations and to cooperate with law enforcement authorities in pursuing any user involved in prohibited conduct.

9. Accounts and Access

Ethy’s Services are non-custodial. Ethy does not create, control, or custody user accounts or funds. Your access to the Services is tied to your blockchain wallet or authentication method of choice.

You are solely responsible for maintaining the security of your wallet and credentials. ETHY HAS NO ABILITY TO RECOVER LOST PRIVATE KEYS OR REVERSE TRANSACTIONS EXECUTED THROUGH THE SERVICES.

Ethy may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we reasonably believe that you have violated these Terms or engaged in conduct harmful to Ethy, its users, or the ecosystem.

10. Intellectual Property

All rights, title, and interest in and to the Services, including but not limited to the software, code, interfaces, features, designs, text, graphics, logos, trademarks, and other content, are owned by or licensed to Ethy.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services in accordance with these Terms. Except as expressly permitted, you may not copy, reproduce, distribute, modify, create derivative works of, or exploit any portion of the Services without Ethy’s prior written consent.

All rights not expressly granted in these Terms are reserved by Ethy.

11. Third-Party Services and Agents

The Services may enable you to access, connect with, or rely on third-party agents, protocols, decentralized applications, or external platforms. Ethy does not own, operate, or control such third parties and makes no representations or warranties regarding their availability, functionality, reliability, security, or accuracy.

Any reference to or integration with a third-party service does not constitute an endorsement or guarantee by Ethy. YOU ACKNOWLEDGE THAT ETHY DOES NOT AUDIT, VERIFY, OR GUARANTEE THE PERFORMANCE OR SECURITY OF ANY THIRD-PARTY AGENTS OR PROTOCOLS.

Your use of third-party services or agents is entirely at your own risk. ETHY DISCLAIMS ALL LIABILITY ARISING FROM YOUR ACCESS TO, RELIANCE ON, OR INTERACTION WITH SUCH THIRD PARTIES.

12. Staking, Rewards, and Tokens

Ethy may provide features that allow users to stake tokens, earn credits, or receive rewards. The availability, structure, and terms of any such features are determined solely by Ethy and may be modified, suspended, or terminated at any time without notice.

YOU ACKNOWLEDGE THAT STAKING OR HOLDING TOKENS THROUGH THE SERVICES DOES NOT CONSTITUTE AN INVESTMENT CONTRACT, AND ETHY MAKES NO PROMISE OR GUARANTEE OF VALUE, RETURN, OR PROFIT. REWARDS, IF ANY, ARE DISTRIBUTED AT ETHY’S SOLE DISCRETION AND MAY BE SUBJECT TO CHANGE OR CANCELLATION.

13. Social Features

The Services may include social features that allow users to share strategies, publish automations, follow other users, or copy trades. You understand that:

(a) Any content you choose to publish through these features is at your sole discretion and responsibility;

(b) Ethy does not verify, endorse, or guarantee the accuracy or performance of any user-generated strategies or automations; and

(c) You assume all risks associated with copying or following other users’ strategies.

ETHY SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING FROM YOUR USE OF SOCIAL FEATURES, INCLUDING RELIANCE ON STRATEGIES OR AUTOMATIONS SHARED BY OTHER USERS.

14. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETHY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

ETHY DOES NOT WARRANT THAT THE SERVICES WILL BE CONTINUOUS, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. ETHY DOES NOT WARRANT OR GUARANTEE ANY RESULTS OR OUTCOMES FROM THE USE OF THE SERVICES.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETHY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, FUNDS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ETHY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ETHY’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES EXCEED ONE U.S. DOLLAR ($1).

16. Indemnification

You agree to indemnify, defend, and hold harmless Ethy and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

(a) your access to or use of the Services;

(b) your violation of these Terms; or

(c) your violation of any applicable law, regulation, or third-party rights.

Ethy reserves the right, at its sole discretion, to assume control of the defense of any claim for which you are required to indemnify Ethy. In such case, you agree to cooperate with Ethy in defending such claims.

17. Force Majeure

Ethy shall not be liable or responsible for any failure or delay in the performance of its obligations under these Terms that results from events, circumstances, or causes beyond its reasonable control. Such events include, without limitation, acts of God, natural disasters, pandemics, labor disputes, acts of government or regulators, telecommunications or internet failures, denial-of-service attacks, hacks, cyber incidents, blockchain outages or reorganizations, smart contract vulnerabilities, power failures, and war or civil disturbance.

During such events, Ethy’s obligations shall be suspended for the period of the delay or inability to perform.

18. Termination

Ethy may, at its sole discretion, suspend, restrict, or terminate your access to the Services at any time, with or without notice, for any reason or no reason at all.

Upon termination, your right to use the Services will immediately cease. Termination does not relieve you of any obligations incurred prior to termination, including indemnification and limitations of liability, which shall survive termination.

19. Modifications

Ethy reserves the right to amend, modify, or update these Terms at any time. If material changes are made, we may provide notice through the Services or by other means. The revised Terms will be effective immediately upon posting unless otherwise stated.

YOUR CONTINUED USE OF THE SERVICES AFTER THE EFFECTIVE DATE OF ANY MODIFICATION CONSTITUTES YOUR ACCEPTANCE OF THE REVISED TERMS.

20. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE SUBMITTED TO THE EXCLUSIVE JURISDICTION OF THE COURTS OF ENGLAND AND WALES.

YOU AGREE TO BRING ANY CLAIM AGAINST ETHY ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A CLAIMANT OR MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING AGAINST ETHY.

21. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement between you and Ethy with respect to the Services and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.

22. Survival

The following provisions shall survive termination of these Terms: Intellectual Property, Automated Features and AI Outputs, Third-Party Services and Agents, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, Class Action Waiver, and any other provisions which by their nature are intended to survive.

23. Assignment

Ethy may assign, transfer, or delegate its rights and obligations under these Terms in whole or in part, without restriction and without prior notice to you. You may not assign or transfer any rights or obligations under these Terms without Ethy’s prior written consent. Any attempted assignment or transfer by you in violation of this provision shall be null and void.
